Terms of Use
- Effective:
- Last updated:
These Terms of Use (“Terms”) govern access to and use of the websites, applications, software, pilot programs, and related services operated by Sequence Integrative (“Sequence,” “we,” “us,” or “our”), including the Sequence execution reliability product (collectively, the “Service”).
Please read these Terms carefully. By checking a box indicating your agreement, clicking “I Agree,” creating an account where acceptance is required, or otherwise affirmatively accepting these Terms, you agree to be legally bound by them.
If you do not agree to these Terms, do not create an account or use the Service.
Our Privacy Policy explains how Sequence collects, uses, protects, and processes personal information. By accepting these Terms, you acknowledge that you have been provided access to the Privacy Policy. The Privacy Policy describes our data practices and is separate from these Terms.
1. Eligibility
You must be at least 18 years old to use the Service.
By accepting these Terms, you represent that:
- You are at least 18 years old.
- You have the legal capacity to enter into these Terms.
- You will use the Service only for lawful purposes.
- The information you provide to establish your account is materially accurate.
- You are authorized to use any organizational account or access credentials provided to you.
If you access Sequence through an employer or other sponsoring organization, you remain individually responsible for complying with these Terms.
2. Electronic Agreement
You agree that your electronic acceptance of these Terms has the same force and effect as a handwritten signature to the extent permitted by applicable law.
Sequence may maintain records showing:
- The version of the Terms presented to you.
- The date and time you accepted them.
- Your account or other associated identifier.
- The text of the Terms in effect when you accepted them.
You may retain a copy of these Terms for your records.
3. The Sequence Service
Sequence is an execution reliability product designed to help participants examine work that is not moving as expected, identify useful information about the execution problem, and take an appropriate next step.
The Service may include structured questions, participant inputs, ratings, behavioral observations, automated processing, calculations, product routing, participant-facing findings, suggested next actions, and related features.
Sequence may change or improve the Service over time. Features may be added, modified, limited, or discontinued as the product develops.
Unless a separate written agreement expressly provides otherwise, these Terms do not guarantee continued availability of any particular feature, workflow, output, interface, or functionality.
4. What Sequence Is Not
Sequence is not:
- Medical care.
- Mental-health treatment.
- Psychotherapy.
- Medical or psychological diagnosis.
- Crisis intervention.
- Legal advice.
- Financial advice.
- An emergency service.
- A substitute for qualified professional care where such care is appropriate.
- An automated employment decision system.
- A substitute for responsible managerial or organizational judgment.
Sequence may allow participants to describe stress, emotion, physical sensations, health-related circumstances, or other aspects of their experience. The presence of that information does not convert Sequence into a healthcare service or create a provider-patient relationship.
Do not use Sequence to seek emergency assistance or to submit information for the purpose of obtaining medical diagnosis or treatment. If you are experiencing an emergency, use the appropriate emergency or professional service available to you.
5. Organizationally Sponsored Access
Your access to Sequence may be sponsored, purchased, or administered by an employer or other organization.
A sponsoring organization may determine administrative matters such as:
- Eligibility to participate.
- The duration of a pilot or program.
- Group or cohort membership.
- Work email addresses or organizational affiliation used for account administration.
- Whether sponsored access remains active.
Use of Sequence does not modify your employment relationship with a sponsoring organization.
Sequence is not your employer, supervisor, human-resources representative, or agent for employment decisions.
A sponsoring organization’s payment for or administration of access does not give that organization unrestricted rights to your private participant information. Organizational access to information is governed by Sequence’s Privacy Policy, product architecture, and any applicable agreement with the organization.
If an agreement between Sequence and a sponsoring organization contains commercial, security, confidentiality, or administrative terms applicable to that organization, those terms govern the relationship between Sequence and that organization. They do not expand employer access to participant information beyond the applicable product and privacy boundaries unless a participant separately authorizes such disclosure or disclosure is required by law.
6. Your Account
You are responsible for maintaining the security of your account and credentials.
You agree not to:
- Share your password or authentication credentials with another person.
- Permit another person to use your account.
- Impersonate another person.
- Create an account using materially false identity information.
- Attempt to access another user’s account.
- Circumvent authentication or access controls.
You should notify Sequence promptly at info@sequenceintegrative.com if you believe your account or credentials have been compromised.
Sequence may require you to reset credentials, reauthenticate, or take other reasonable security measures when necessary to protect the Service.
7. Participant Content
“Participant Content” means information you intentionally provide through the Service, such as workplace targets, responses, ratings, descriptions, reflections, and other inputs.
As between you and Sequence, Sequence does not claim ownership of your Participant Content.
These Terms do not determine whether your employer or another organization has independent ownership or other rights in workplace information under an employment agreement, intellectual-property agreement, confidentiality agreement, policy, or applicable law.
You grant Sequence a limited, nonexclusive right to host, store, transmit, reproduce, process, analyze, and otherwise use Participant Content only as reasonably necessary to:
- Provide the Service.
- Operate product workflows.
- Generate participant-facing results.
- Secure and troubleshoot the Service.
- Maintain system and data integrity.
- Provide authorized support.
- Validate and improve the product consistent with the Privacy Policy.
- Comply with applicable law.
- Conduct research only where such research use is permitted by the Privacy Policy and any applicable research consent.
This license does not give Sequence the right to sell your Participant Content or use it for unrelated advertising.
8. Information You Should Not Submit
You should provide only information reasonably necessary to use Sequence.
You agree not to knowingly submit:
- Another person’s password or authentication credentials.
- Payment-card numbers through fields not intended for payment.
- Government identification numbers unless specifically requested through an authorized process.
- Medical records.
- Information for the purpose of obtaining medical diagnosis or treatment.
- Confidential information belonging to another person or organization that you are not authorized to provide to Sequence.
- Personal information about another person that is unnecessary for your use of the Service.
- Illegal content.
- Malicious code, malware, or executable instructions intended to interfere with the Service.
Workplace targets sometimes involve confidential professional matters. You remain responsible for ensuring that you are authorized to provide the information you choose to enter into Sequence.
9. License to Use Sequence
Subject to these Terms, Sequence grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable right to access and use the Service for its intended purpose during the period in which you are authorized to use it.
This license does not transfer ownership of the Service or any Sequence intellectual property.
All rights not expressly granted are reserved by Sequence.
10. Acceptable Use
You may not use the Service to:
- Violate applicable law.
- Harm, threaten, harass, deceive, or impersonate another person.
- Gain unauthorized access to accounts, databases, systems, networks, or information.
- Circumvent authentication, permissions, usage limits, security controls, or technical restrictions.
- Introduce malware, malicious code, or harmful functionality.
- Interfere with or disrupt operation of the Service.
- Systematically scrape or extract Service content or outputs.
- Use automated means to probe the Service in a manner not authorized by Sequence.
- Attempt to obtain private information about another participant.
- Use Sequence as an employee-surveillance or covert-monitoring system.
- Use participant-facing functionality to make automated employment decisions.
- Misrepresent Sequence outputs as clinical diagnoses, legal conclusions, or definitive employment determinations.
You may not use the Service in a way that materially interferes with its intended operation or the rights of other users.
11. Proprietary Methods and Reverse Engineering
The Service contains proprietary software, product architecture, methods, workflows, rules, content, decision logic, prompts, classifications, routing systems, scoring or calculation methods, correction libraries, interfaces, and other confidential or proprietary material belonging to Sequence or its licensors.
Except to the extent a restriction is prohibited by applicable law, you may not:
- Reverse engineer the Service.
- Decompile or disassemble software made available through the Service.
- Attempt to discover nonpublic source code.
- Probe the Service for the purpose of reconstructing proprietary decision logic.
- Systematically map inputs to outputs for the purpose of discovering protected internal methods.
- Extract nonpublic prompts, rules, formulas, thresholds, taxonomies, or routing logic.
- Circumvent technical protections designed to protect proprietary systems.
- Copy or reproduce substantial portions of proprietary Sequence content except as necessary for ordinary authorized use.
Nothing in these Terms prohibits activity that applicable law expressly gives you a nonwaivable right to perform.
Good-faith security concerns may be reported to info@sequenceintegrative.com. Authorization to use Sequence does not itself authorize penetration testing or security testing.
12. Sequence Intellectual Property
Sequence and its licensors retain all right, title, and interest in and to the Service and its intellectual property, including:
- Software.
- Source and object code.
- Product design.
- Interfaces.
- Written content.
- Product workflows.
- Research-derived product implementations.
- Proprietary methods.
- Databases and database structures.
- Taxonomies and reference systems.
- Algorithms and calculations.
- Product names.
- Logos.
- Trademarks.
- Copyrightable material.
- Trade secrets.
- Documentation.
“Sequence,” “Sequence Integrative,” and related names, logos, marks, and branding may not be used without authorization except as permitted by law.
13. Feedback
If you voluntarily provide suggestions, ideas, recommendations, or other feedback about the Service, you authorize Sequence to use that feedback without obligation to compensate you.
This does not give Sequence ownership of your Participant Content or expand Sequence’s rights to private participant information.
Do not submit confidential third-party information as feedback.
14. Automated and AI-Assisted Processing
Certain portions of Sequence use automated processing. Some bounded functions may use artificial-intelligence services where enabled.
These systems may assist with functions such as:
- Interpreting limited participant inputs.
- Identifying participant-facing options.
- Selecting an appropriate product pathway.
- Producing bounded summaries or outputs.
Automated and AI-assisted systems can produce incomplete, imperfect, or incorrect results.
Sequence outputs should therefore be understood as information to support appropriate human understanding and action, not as infallible determinations about a person.
Sequence does not use the Service to make, recommend, or substantially facilitate hiring, termination, promotion, compensation, disciplinary, or other significant employment decisions about an individual.
You may not represent a Sequence output as a definitive psychological, medical, legal, or employment determination.
15. Privacy
Sequence’s Privacy Policy describes how personal information is collected, processed, protected, retained, and disclosed.
The Privacy Policy also describes the boundaries between private participant information and organizational reporting.
Your acceptance of these Terms acknowledges that the Privacy Policy has been made available to you. Acceptance of these Terms does not constitute consent to uses of personal information that require a separate consent under applicable law or a separate research protocol.
16. Research Participation Is Separate
Using the Service does not automatically enroll you in a research study.
Formal research participation may require a separate informed-consent process.
Where separate research consent is required, that research consent governs matters such as:
- The research purpose.
- The information used for research.
- Risks and benefits of participation.
- Voluntary participation.
- Withdrawal rights, if applicable.
- Publication or research-data practices.
- Any additional study-specific requirements.
These Terms are not a substitute for informed research consent.
If there is a conflict between these Terms and an applicable research consent concerning participation in that research study, the research consent governs the research-specific issue.
17. Pilot and Pre-Release Features
Sequence may make the Service or certain features available as part of a limited pilot, evaluation, beta, research, or pre-release program.
Pilot or pre-release features may:
- Change during the pilot period.
- Be modified based on observed use.
- Contain errors or incomplete functionality.
- Be temporarily unavailable.
- Be discontinued or replaced.
Unless separately agreed in writing, participation in a pilot does not guarantee future access, commercial availability, continued functionality, or the release of any planned feature.
Sequence may collect operational feedback and product-performance information from pilot use consistent with the Privacy Policy and any applicable research consent.
18. No Guaranteed Outcome
Sequence is designed to provide useful evidence and structured assistance around execution.
However, Sequence does not guarantee that:
- Any particular work item will begin.
- Work will be completed.
- Performance will improve.
- A particular explanation will be identified.
- A suggested action will produce a particular result.
- A participant’s experience will change.
- A manager or organization will take or refrain from taking any action.
- Use of Sequence will produce any particular business, employment, financial, health, or personal outcome.
Human behavior and workplace conditions are complex. Sequence outputs are evidence and decision support, not guarantees.
19. Third-Party Services
Sequence relies on third-party infrastructure and service providers to perform certain technical functions, which may include hosting, database infrastructure, authentication, communications, security, payment processing, and bounded artificial-intelligence processing.
Sequence remains responsible for its own obligations under these Terms and its Privacy Policy, but it does not control the independent availability or operation of every third-party infrastructure provider.
The Service may also contain links to third-party websites or services. If you choose to leave Sequence and interact directly with a third party, that third party’s terms and privacy practices may apply.
20. Communications
You agree that Sequence may send you service-related and administrative communications electronically, including communications concerning:
- Account access.
- Authentication.
- Security.
- Product operation.
- Pilot administration.
- Support.
- Changes to the Service.
- Changes to these Terms.
- Privacy or legal notices.
You are responsible for maintaining a valid email address associated with your account where email communication is used.
Service-related communications are different from optional marketing communications. Where Sequence sends marketing communications, you may unsubscribe from them as provided in the communication and as required by law.
Opting out of marketing does not prevent Sequence from sending necessary service, security, account, legal, or transactional communications.
21. Fees and Paid Services
Your acceptance of these Terms does not by itself create an obligation to pay Sequence.
Access may be paid for by a sponsoring organization.
If Sequence offers a service that you purchase directly, the price, billing frequency, payment terms, cancellation terms, and any applicable renewal terms will be clearly presented before you complete the purchase.
Additional purchase, subscription, order-form, or payment terms presented at checkout become part of the agreement governing that purchase.
Sequence will not impose an automatic renewal or recurring consumer charge unless the applicable renewal and cancellation terms are presented and affirmative consent is obtained as required by applicable law.
If a paid service automatically renews, Sequence will provide the notices and cancellation method required by applicable law.
Unless otherwise stated at purchase or required by law, fees already earned for services provided are nonrefundable.
22. Availability and Maintenance
Sequence aims to operate the Service reliably but does not guarantee uninterrupted availability.
The Service may be unavailable because of:
- Scheduled maintenance.
- Emergency maintenance.
- Security measures.
- Software defects.
- Infrastructure outages.
- Internet or telecommunications problems.
- Third-party provider failures.
- Events beyond Sequence’s reasonable control.
Sequence may temporarily restrict access where reasonably necessary to protect users, information, security, system integrity, or the Service.
Unless a separate written agreement provides a service-level commitment, no specific uptime or response-time guarantee applies.
23. Suspension
Sequence may suspend or restrict your access where reasonably necessary because:
- You materially violate these Terms.
- Your use creates a security risk.
- Your account appears to have been compromised.
- Your use threatens the Service or another user.
- Continued access would violate law.
- A sponsoring organization lawfully terminates the sponsored access it controls.
- The applicable pilot, program, or authorized access period ends.
- Sequence reasonably needs to investigate suspected abuse or unauthorized access.
Where circumstances permit, Sequence will seek to use a proportionate response rather than unnecessarily terminating access.
24. Termination
You may stop using Sequence at any time.
You may contact info@sequenceintegrative.com regarding account closure or access termination.
Sequence may terminate your right to use the Service if:
- You materially or repeatedly violate these Terms.
- Continued access presents a material security or legal risk.
- Your authorized organizational or pilot access expires.
- Sequence discontinues the applicable Service.
- Termination is otherwise permitted under an applicable written agreement.
Termination of access does not automatically require immediate deletion of all information. Information is handled after termination in accordance with the Privacy Policy, applicable research consent, legal obligations, security requirements, and legitimate recordkeeping needs.
Sections that by their nature should survive termination—including intellectual-property provisions, limitations of liability, dispute provisions, and rights necessary to retain or process information lawfully—will survive.
25. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.
Sequence does not warrant that:
- The Service will always be available.
- The Service will be uninterrupted or error-free.
- Every error will be corrected.
- Every output will be complete or accurate.
- The Service will meet every individual or organizational requirement.
- Use of the Service will produce a specific execution, performance, employment, or business result.
Nothing in these Terms disclaims any warranty or right that applicable law does not permit Sequence to disclaim.
26. Limitation of Liability
To the maximum extent permitted by applicable law, Sequence will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the Service, including loss of profits, revenue, business opportunity, goodwill, or data, where such damages may lawfully be excluded.
To the maximum extent permitted by applicable law, Sequence’s aggregate liability to you arising out of or relating to the Service or these Terms will not exceed the greater of:
- The amount you personally paid directly to Sequence for the Service during the 12 months immediately preceding the event giving rise to the claim; or
- One hundred U.S. dollars ($100).
These limitations apply only to the extent permitted by law.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where liability cannot lawfully be limited, violation of law where liability cannot lawfully be waived, or any other liability that applicable law prohibits Sequence from excluding or limiting.
Nothing in these Terms waives a nonwaivable consumer protection or statutory right.
27. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Sequence harmless from third-party claims, damages, losses, and reasonable costs arising directly from:
- Your intentional unlawful use of the Service.
- Participant Content you knowingly submit without the right to provide it.
- Your infringement of another person’s intellectual-property or privacy rights through your use of the Service.
- Your intentional circumvention of Sequence security or access controls.
- Your material violation of these Terms that causes a third-party claim.
This obligation does not apply to the extent a claim results from Sequence’s own negligence, gross negligence, willful misconduct, violation of law, or other conduct for which Sequence may not lawfully shift responsibility.
28. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
If the laws of another jurisdiction give you nonwaivable rights that cannot lawfully be displaced by a California choice-of-law provision, those rights remain unaffected.
29. Dispute Resolution and Venue
Sequence prefers to resolve disagreements directly where practical.
Before filing a civil action arising primarily from these Terms, you and Sequence are encouraged to provide the other party with written notice describing the dispute and a reasonable opportunity to attempt an informal resolution. This informal process does not prevent either party from seeking urgent injunctive or other emergency relief where appropriate, and it does not extend a legal filing deadline unless the parties expressly agree otherwise.
These Terms do not require individual arbitration and do not waive your right to participate in a class action where such a right otherwise exists under applicable law.
Subject to any nonwaivable rights and any controlling organizational agreement, disputes arising from these Terms may be brought in a court of competent jurisdiction in Los Angeles County, California, and you and Sequence consent to personal jurisdiction there.
30. Injunctive Relief
Unauthorized access to the Service, misuse of confidential systems, misappropriation of intellectual property, or circumvention of security controls may cause harm that cannot be adequately remedied by money damages alone.
Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief from a court of competent jurisdiction.
31. Compliance With Law
You must use Sequence in compliance with applicable law.
You may not use the Service where your use is prohibited by applicable trade, sanctions, export-control, computer-access, privacy, intellectual-property, or other law.
Sequence may restrict access where reasonably necessary to comply with a binding legal obligation.
32. Changes to These Terms
Sequence may update these Terms as the Service, business, or applicable law changes.
For nonmaterial changes, Sequence may update the posted Terms and revise the “Last Updated” date.
If a change materially affects your rights or obligations, Sequence will provide reasonable notice before the change takes effect where appropriate.
Where renewed affirmative agreement is legally required or reasonably appropriate because of the nature of the change, Sequence will require you to accept the revised Terms before continuing to use the affected Service.
Your prior acceptance record will not be retroactively rewritten. Sequence may preserve prior versions and records showing which version you accepted.
33. Assignment
You may not transfer your account or assign your rights under these Terms to another person without Sequence’s written permission.
Sequence may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Service, subject to applicable law and the continuing privacy obligations applicable to personal information.
34. No Third-Party Beneficiaries
Except where these Terms expressly state otherwise, they do not create enforceable rights for any person or entity that is not a party to them.
A sponsoring organization does not become entitled to private participant information merely because it funded or administered access.
35. Severability
If a court of competent jurisdiction determines that a provision of these Terms is unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where necessary, severed.
The remaining provisions will remain in effect unless the invalid provision is so fundamental that the agreement cannot reasonably operate without it.
36. No Waiver
If Sequence does not enforce a provision of these Terms on one occasion, that does not waive its right to enforce the provision later.
A waiver is effective only for the particular circumstance in which it is given.
37. Entire Agreement
These Terms constitute the agreement between you and Sequence concerning your individual use of the Service, together with any supplemental product terms that Sequence expressly presents to you as part of that use.
They do not replace:
- A separate research informed-consent document.
- A separate agreement between Sequence and a sponsoring organization.
- Specific purchase terms accepted in connection with a paid service.
- Any other written agreement that expressly states it governs a particular matter.
Where two applicable documents conflict, the more specific document governs the subject it specifically addresses.
A research consent governs research-specific matters. An organizational agreement governs the commercial relationship between Sequence and the organization. These Terms govern your individual use of the Service unless another applicable agreement expressly states otherwise.
